Indemnification
You agree to indemnify, defend, and hold harmless FontPools, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in San Francisco, California.
Dispute Resolution
Any disputes arising from these Terms or your use of the Service shall first be resolved through good-faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely matches the intent of the original provision.
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and FontPools regarding the use of the Service and supersede all prior agreements and understandings.
No Waiver
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. No waiver shall be effective unless in writing and signed by an authorized representative.
